SHUTTERBOOTH OF LAS VEGAS SERVICE AGREEMENT

{{contact.name}} (hereinafter referred to as “Client”) REPRESENTS: (1) there is good access to performance area (paved walkway and no stairs) - exceptions can be made only with the inspection and approval of a ShutterBooth Staff member; (2) there is a 120 volt electric outlet within 10 feet of desired performance area; (3) it is the responsibility of the Client to guarantee power is available for the entire duration of the event. If power is lost for any reason, ShutterBooth is not responsible for any resulting damages or liable to provide and refund to the Client or provide any usage time beyond the original contract period; (4) there is a covered area, level, concrete-like surface for the photo booth to be placed on if event is outdoors; and (5) Client will be responsible for any damage done to the photo booth caused by Client or any of the Client’s guests.

SHUTTERBOOTH OBLIGATIONS:

1. Provide an operational photo booth that does not require money to operate for the number of hours booked. Client acknowledges the photo booth will require onsite maintenance and/or servicing during the performance, and will only operate for 80 % of the length of the time booked as a result of that maintenance and/or servicing.

2. Provide a qualified technician onsite to maintain the unit in operating condition.

3. Install and remove the photo booth in a timely manner.

4. Events including Shutter N Share (instant email/text) a WiFi hotspot may be provided at clients request. Hotspots are Based on availability and the connection is not guaranteed.

OTHER:

1. Deposit is required to hold the date and the remaining balance is due 14 days prior to the contracted event date. If balance due is not paid on time, deposit shall be forfeited and the photo booth reservation canceled. If Photo booth reservation is cancelled within 90 days of contracted date the client agrees to pay balance in full.

2. Client and ShutterBooth agree that in the event of a mechanical failure, or for any other reason ShutterBooth is unable to provide a functioning photo booth pursuant to this agreement, ShutterBooth’s maximum liability is the return of any payments received. ShutterBooth will not be liable under any contract, negligence, strict liability, or other theory for direct, indirect, incidental or consequential damages (including without limitation, damages for lost profits or increased expenses) with respect to any claim arising from or related in any way to this agreement, the subject matter of this agreement, the services provided under this agreement, or the property where these services are being performed. If ShutterBooth is only able to provide partial services for any reason, the charges to Client will be prorated subject to the 80% usage clause above.

3. This agreement constitutes the entire agreement between ShutterBooth and Client with respect to the subject matter and performance of this agreement and supersedes all prior and contemporaneous oral, written and other agreements between the parties with respect to the subject matter hereof. This Agreement may only be amended by a writing signed by ShutterBooth and Client.

4. Client and Shutterbooth agree that ShutterBooth is to provide two idle hours prior to the start of the event and one idle hour upon conclusion of event. Any additional idle time required will be billed at a rate of no less than $45.00 per hour.

5. Client and ShutterBooth agree that any dispute or claim arising from this agreement or performance of this agreement, with the exception of ShutterBooth’s attempts to collect payment for its performance of this agreement, will be settled by voluntary mediation. If mediation is unsuccessful, the dispute will be settled by binding arbitration using an arbiter from the American Arbitration Association in Las Vegas, NV. Client agrees to pay all of ShutterBooth’s reasonable attorneys’ fees incurred in bringing a collection action to recover payment for services provided under this agreement. In the event Client and ShutterBooth are forced to arbitrate any claim or dispute arising from the performance of this agreement pursuant to this provision, Client and ShutterBooth agree that the prevailing party’s attorneys’ fees will be paid by the opposing party. This agreement shall be governed by and construed in accordance with the laws of the State of Nevada without reference to the choice of law principles of any jurisdiction. If any provision of this agreement shall be held invalid or unenforceable, the remainder of this agreement, which can be given effect without such invalid or unenforceable provision, shall remain in full force and effect.
